The terms and conditions governing a Merchant's relationship with the Eventy platform.
This Merchant Agreement (Non-Exclusive) is between the Merchant and Eventy Bookings for Event Solutions LLC, operator of the "Eventy" platform, whereby Eventy markets the Merchant's work and event-related products and services — including venues, food & beverage, event management, entertainment, décor and other categories — offered through the platform. The Effective Date is the date the Merchant electronically accepts this Agreement during registration.
Unless the context otherwise requires: headings are for convenience only; the singular includes the plural and vice versa; references to a party mean the Merchant or Eventy, or both; references to other agreements or documents include them as amended, replaced or supplemented from time to time; "include" and "including" are not limiting.
This Agreement takes effect on the date the Merchant electronically accepts it during registration on the Eventy platform. It remains valid for an initial term of one (1) year, automatically renewing for successive one (1) year terms unless terminated in accordance with the Termination clause.
The Merchant appoints Eventy as its representative for marketing its products and/or services and securing the best possible deals. Eventy is authorized to represent the Merchant within the State of Qatar and to negotiate terms on the Merchant's behalf, though the final right to accept or decline any booking rests solely with the Merchant.
Eventy is entrusted with the Merchant's Marketing Materials (photos, videos, menus, price lists, descriptions) to secure bookings, but the Merchant retains all rights to them. Materials must be returned within 30 days of termination. The Merchant may not target customers obtained through Eventy to encourage direct bookings, and prices offered via Eventy must not exceed the Merchant's direct-channel prices. The Merchant shall compensate Eventy for any losses arising from the Merchant's breach or misrepresentation.
Eventy is entitled to Commission on all bookings secured through the platform, at the rate set out in the Merchant's Commission Schedule communicated and accepted at registration. No commission applies to bookings rejected by the Merchant. Eventy may set off amounts owed by the Merchant against payments otherwise due.
Eventy invoices the Merchant detailing completed work and commission due. All payments covered under this Agreement are made within forty-five (45) days.
Either party may terminate for breach with 30 days' written notice, or without cause with 60 days' written notice. Upon termination, Eventy returns all Marketing Materials within 30 days. If the Merchant books directly with a customer Eventy had obtained prior to termination, Commission remains payable on that booking.
The Merchant shall not share Eventy's data, including customer data obtained via the platform, with any competing third party. Breach entitles Eventy to terminate immediately and pursue legal action.
This Agreement may not be assigned by either party. It binds and benefits each party's successors and administrators; any purported assignment in violation is void.
Each party is an independent contractor. Nothing in this Agreement creates a partnership or joint venture.
No amendment is effective unless in writing (including electronic) and signed by authorized representatives of both parties, except for Commission Schedule updates under Clause 5.
Rights and remedies under this Agreement are cumulative. No waiver is valid unless in writing, and no delay or partial exercise of a right precludes its further exercise.
If any provision is held invalid, the remainder stays in force, and the invalid provision is replaced, where legally possible, with an enforceable one reflecting the parties' original intent.
Checking the acceptance box and submitting the registration form on the Eventy platform constitutes a valid, binding electronic signature and full acceptance of this Agreement, enforceable to the same extent as a handwritten signature under applicable Qatari electronic transactions law.
This Agreement is governed by the laws of the State of Qatar. The parties submit to the exclusive jurisdiction of the Qatari courts for any dispute arising from or relating to this Agreement.
This Agreement is the entire understanding between the parties on its subject matter and supersedes all prior discussions. By accepting electronically, the Merchant confirms it has read, understood, and agreed to be bound by all terms.
This Agreement is drawn up in both Arabic and English. In case of any discrepancy, the Arabic version governs.
By checking the acceptance box on the Merchant Registration Form, the person submitting confirms they are authorized to bind the Merchant, and that the Merchant has read, understood, and agrees to all terms herein. Merchant legal name, representative name, and the date, time and IP address of acceptance are recorded automatically at registration.
